Coach Mindset — The Operating System for Modern Coaches

These Terms of Use ("Terms") constitute an End User License Agreement ("EULA") and govern your access to and use of the Coach Mindset mobile application and web platform (the "Service"), operated by Boost Innovation Inc. ("we," "us," or "our") from Ontario, Canada. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years of age to create an account and use the Service. By using Coach Mindset, you represent and warrant that you meet this age requirement. If we learn that a user is under 18, we will terminate their account promptly.

4. Subscription & Payments

4.1 Subscription Plans

Coach Mindset offers free and paid subscription tiers. Paid features are accessible only while your subscription is active.

4.2 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date. You authorize us (or the applicable app store) to charge the payment method on file for each renewal period.

4.3 Cancellation

You may cancel your subscription at any time through your account settings or through the app store where you subscribed. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that period ends.

4.4 Refund Policy

We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied within the first 30 days, contact us at info@boostinnovation.ca to request a full refund. After 30 days, subscription fees are non-refundable except where required by applicable law.

4.5 Apple In-App Purchases

If you subscribe through the Apple App Store, your purchase is subject to Apple's terms and conditions. Payment will be charged to your Apple ID account. Subscription management and cancellation are handled through your Apple ID settings. Refund requests for Apple IAP purchases must be directed to Apple.

5. Content Ownership

5.1 Your Content

You retain full ownership of all content you create within the Service, including practice plans, season plans, drills, notes, and other user-generated materials ("Your Content"). By using the Service, you grant Coach Mindset a limited, non-exclusive, royalty-free license to store, display, and process Your Content solely for the purpose of operating and providing the Service to you.

5.2 Platform Content

All content provided by Coach Mindset, including but not limited to learning management system (LMS) modules, scenario-based assessments, coaching frameworks, AI-generated recommendations, and educational materials ("Platform Content"), is owned by Boost Innovation Inc. or its licensors. You may not reproduce, distribute, or create derivative works from Platform Content without our prior written consent.

8. Intellectual Property

The Coach Mindset name, logo, brand identity, Platform Content, machine learning models, assessment frameworks, scoring algorithms, and all associated intellectual property are owned by Boost Innovation Inc. and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service as permitted herein.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Coach Mindset does not warrant that:

You acknowledge that coaching and athletic development involve inherent physical and psychological risks and that the Service is a supplementary educational tool, not a substitute for professional judgment, medical advice, mental-health treatment, or emergency services.

9A. Educational Content — Not Medical, Clinical, or Legal Advice

The Service contains educational material for coaches on topics including athlete safety, injury recognition, heat illness, concussion awareness, strength and conditioning, nutrition, return-to-activity considerations, and related subjects (collectively, the "Safety & Performance Content"). The Safety & Performance Content is provided for general educational purposes only. It is not medical advice, diagnosis, treatment, clinical protocol, or legal guidance, and no provider-patient relationship is created through your use of the Service. You agree that you will not rely on the Safety & Performance Content to diagnose or treat any medical condition in yourself or in any athlete in your care. For any suspected injury, illness, or medical or legal concern, you will consult, and defer to, a licensed healthcare provider, emergency services, or qualified counsel, as applicable.

9B. Mental-Performance Content — No Clinical Relationship

Coach Mindset includes educational content on mental performance, including but not limited to performance anxiety, confidence, focus, emotional regulation, team dynamics, burnout, and identity in sport (the "Mental-Performance Content"). The Mental-Performance Content is provided for general educational and self-reflection purposes for coaches and, where applicable, the athletes they work with. By accessing the Mental-Performance Content, you expressly acknowledge and agree that:

9C. Internal Certificates — Not Accredited Credentials

Coach Mindset issues internal certificates of completion (including, without limitation, Coach Mindset Professional Development certificates, Mental Performance track certificates, Sport Coaching certificates, Youth Coaching, Performance Coaching, Multi-Sport, and Safety certificates). These certificates reflect completion of Coach Mindset's own learning activities and internal assessments only. They are not accredited by, affiliated with, or equivalent to credentials issued by any external governing body, including (without limitation) the Coaching Association of Canada (NCCP), the United States Olympic & Paralympic Committee, UEFA, FIFA, US Soccer, USA Hockey, Hockey Canada, USA Baseball, USA Football, USA Volleyball, FIVB, USA Cheer / AACCA, USASF, NFHS, NCAA, the U.S. Center for SafeSport, NASM, NSCA, or ACSM. You agree not to represent a Coach Mindset certificate as an official or accredited credential of any such body.

9D. Trademarks and Third-Party References

The Service references third-party organizations, coaching frameworks, competitions, athletes, coaches, and products (including, without limitation, NCCP, UEFA, FIFA, NCAA, NFHS, USASF, USA Hockey, Hockey Canada, USA Baseball, USA Football, USA Volleyball, FIVB, USA Cheer / AACCA, NASM, NSCA, ACSM, and the names of various coaches and clubs) solely for identification, commentary, and educational purposes in the course of coach education. All such names, marks, logos, and frameworks remain the property of their respective owners. References do not imply sponsorship, endorsement, partnership, accreditation, or affiliation between Coach Mindset and any such third party.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Boost Innovation Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

In no event shall our total aggregate liability exceed the amount of subscription fees you have actually paid to Boost Innovation Inc. in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

11.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at info@boostinnovation.ca and attempt to resolve the dispute informally for at least thirty (30) days.

11.3 Binding Arbitration

If we are unable to resolve a dispute informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered in Ontario, Canada. The arbitration shall be conducted on an individual basis; class actions and class arbitrations are not permitted. The arbitrator's decision shall be final and binding.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or an in-app notice. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
